These Terms of Service ("Terms") govern your access to and use of DocWizard, including the DocWizard website, application, APIs and related services (collectively, the "Service").
The Service is provided by DOTTO WEB SOLUTIONS (ABN/ACN 25 588 779 536 ), an Australian company based in Victoria, Australia ("DocWizard", "we", "us" or "our").
By creating an account, accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other organisation, you represent that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must not use the Service.
DocWizard provides a document automation platform that enables businesses and other users to upload and manage document templates, supply data, generate documents, store documents and integrate document-generation functionality into other applications using our APIs.
We may improve, update or modify the Service from time to time. We will take reasonable steps to avoid materially reducing core functionality for paying customers without notice.
You must create an account to access certain parts of the Service.

Authentication services may be provided through third-party service providers.
You are responsible for activity performed through your account, organisation and API credentials to the extent that such activity results from your acts, omissions or authorised users.
DocWizard may allow multiple users to access the Service through an organisation account.
The organisation is responsible for determining who may access its account and for managing its authorised users.
Where you use DocWizard on behalf of an organisation, references to "you" in these Terms include that organisation where appropriate.
"Customer Content" means documents, templates, files, data, text, images, personal information and other material submitted, uploaded, transmitted or generated through the Service by or on behalf of a customer.
You retain all ownership rights in your Customer Content.
DocWizard does not acquire ownership of your Customer Content merely because you upload, store, process or generate it using the Service.
You grant DocWizard a limited, non-exclusive licence to host, copy, transmit, process, modify and otherwise use Customer Content only to the extent reasonably necessary to provide, maintain, secure and support the Service.
This licence ends when the relevant Customer Content is deleted from the Service, subject to reasonable technical, backup, security and legal retention requirements.
You are responsible for Customer Content submitted through your account.
You represent and warrant that you have all rights, permissions, consents and lawful bases necessary to upload and process Customer Content using DocWizard.
You must not use DocWizard to process content where doing so would violate applicable law or the rights of another person.
DocWizard may process personal information contained within Customer Content on behalf of customers.
Where a customer determines the purposes for which personal information is processed using DocWizard, the customer remains responsible for determining whether that processing is lawful and appropriate.
DocWizard processes such information for the purpose of providing the Service and in accordance with the customer's use and configuration of DocWizard, these Terms and our Privacy Policy.
Customers should not upload personal information to DocWizard unless they have the appropriate authority or lawful basis to do so.
DocWizard may store uploaded templates and generated documents as part of the Service.
Customer documents and templates are stored using cloud infrastructure and appropriate technical safeguards, including encryption where supported by the relevant storage systems.
Customers may delete documents and templates through the functionality provided by the Service.
Deletion from active systems may not result in immediate deletion from backups, logs or disaster-recovery systems. Residual copies may remain for a limited period where reasonably required for security, backup, legal or operational purposes.
You must not use the Service to:
We may restrict or suspend access where we reasonably believe use of the Service violates these Terms, threatens the security or reliability of the Service, or exposes DocWizard or others to material legal risk.
Where reasonably practicable, we will provide notice and an opportunity to remedy the issue.
DocWizard may provide APIs that allow customers to integrate the Service into their own software.
You are responsible for protecting API keys and other credentials issued to your account.
API usage may be subject to limits associated with your plan.
We may implement reasonable rate limits and technical restrictions to protect the security, stability and availability of the Service.
You must not attempt to circumvent those restrictions.
DocWizard may offer free and paid plans.
Features, limits and pricing applicable to each plan are described on our website or within the Service.
Paid subscriptions are billed in accordance with the billing period selected when subscribing.
Payments are processed by third-party payment providers, including Stripe. DocWizard does not ordinarily store complete payment card details.
Unless otherwise stated, prices are expressed in the currency displayed at checkout and applicable taxes may be added where required.
DocWizard may provide a free plan subject to usage, storage, feature or other limitations.
We may change the limits or features of the free plan from time to time.
Where practical, we will provide reasonable notice before making changes that materially affect existing free-plan users.
Free-plan access does not guarantee that any particular feature or usage allowance will remain available indefinitely.
You may cancel a paid subscription through the functionality provided by DocWizard.
Unless otherwise stated, cancellation takes effect at the end of the current paid billing period and you may continue using paid features until that time.
Amounts already paid are generally non-refundable except where required by law or where DocWizard expressly agrees otherwise.
Nothing in these Terms excludes any refund, remedy or other right that cannot lawfully be excluded under the Australian Consumer Law or other applicable legislation.
We aim to provide a reliable Service but do not guarantee uninterrupted or error-free availability.
The Service may occasionally be unavailable due to maintenance, software updates, infrastructure failures, third-party outages, security incidents or circumstances outside our reasonable control.
We may modify the Service as it develops.
For material changes that significantly reduce functionality available under an existing paid plan, we will take reasonable steps to provide advance notice where practicable.
DocWizard relies on third-party services and infrastructure providers to operate the Service, including providers of cloud hosting, authentication, payment processing and analytics services.
These may include Amazon Web Services (AWS), Clerk, Stripe and Google Analytics.
DocWizard is not responsible for third-party products or services outside our reasonable control, although this does not limit any responsibility we have under applicable law.
DocWizard and its licensors retain all rights in the Service, including its software, APIs, website, branding, documentation, designs and underlying technology, excluding Customer Content.
These Terms do not transfer ownership of DocWizard's intellectual property to you.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service during the period in which you maintain an eligible account.
If you voluntarily provide suggestions or feedback regarding DocWizard, you permit us to use that feedback to improve the Service without obligation to compensate you.
This does not give us ownership of your Customer Content or confidential information.
Each party may receive confidential or commercially sensitive information from the other in connection with the Service.
Each party agrees to take reasonable steps to protect confidential information and not disclose it except:
Customer Content will be treated as confidential information except where it has become public through no breach of these Terms.
DocWizard uses reasonable technical and organisational measures designed to protect the security of the Service and Customer Content.
These measures may include access controls, encrypted communications, encryption of stored files and cloud infrastructure security controls.
However, no internet-based service can guarantee absolute security.
Customers are responsible for implementing appropriate security measures within their own systems, including protecting account credentials and API keys.
While DocWizard may maintain backups and redundancy as part of operating the Service, the Service should not be treated as the sole archival repository for business-critical documents.
Customers are responsible for maintaining copies of Customer Content where appropriate for their business, regulatory or legal requirements.
You may stop using DocWizard at any time.
We may suspend or terminate access where:
Where appropriate, we will provide reasonable notice and an opportunity to remedy a breach before terminating a paid account.
Following termination, your right to use the Service ends.
Customers should export or download Customer Content they wish to retain before terminating their account.
To the maximum extent permitted by law, the Service is provided on an "as available" basis.
DocWizard does not warrant that every generated document will be error-free, correctly formatted or suitable for a customer's particular legal, regulatory or business purpose.
Customers are responsible for reviewing generated documents where accuracy is important.
Nothing in these Terms excludes guarantees, warranties or rights that cannot legally be excluded, including rights that may apply under the Australian Consumer Law.
To the maximum extent permitted by law, DocWizard will not be liable for indirect, incidental, special or consequential loss, loss of profits, loss of revenue, loss of business opportunity or loss of anticipated savings arising from use of the Service.
To the extent permitted by law, DocWizard's aggregate liability arising out of or relating to the Service will not exceed the fees paid by the customer to DocWizard during the 12 months immediately preceding the event giving rise to the claim.
For users of the free plan, DocWizard's aggregate liability will be limited to AUD $100 to the extent permitted by law.
These limitations do not apply to liability that cannot lawfully be excluded or limited.
To the extent permitted by law, you agree to indemnify DocWizard against third-party claims, losses and reasonable costs arising directly from:
This indemnity does not apply to the extent a claim or loss was caused by DocWizard's own breach, negligence or unlawful conduct.
We may update these Terms as the Service and our legal obligations change.
If we make material changes, we will take reasonable steps to notify affected customers before the changes take effect.
Continued use of the Service after updated Terms take effect constitutes acceptance of those Terms where permitted by law.
These Terms are governed by the laws of Victoria, Australia.
You and DocWizard submit to the courts having jurisdiction in Victoria, Australia, subject to any rights you may have under applicable consumer protection legislation that cannot lawfully be excluded.
